Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the services provided by [Dialed, P.C.], doing business as [Dialed] ("Clinic," "we," "us," or "our"), including our website, telehealth platform, patient portal, clinical consultations, care coordination, laboratory services, and related services (collectively, the "Services").

By creating an account, scheduling an appointment, submitting a medical intake, communicating with our healthcare professionals, or using our Services, you acknowledge that you have read, understood, and agree to these Terms.

These Terms do not replace the medical advice, informed consent documents, treatment plans, medication instructions, or other documents provided to you by your healthcare professional.

1. Medical Services and Provider-Patient Relationship
The Clinic provides healthcare services through licensed healthcare professionals using telehealth and, when applicable, other healthcare delivery methods.

Use of our website or submission of an intake form does not by itself establish a physician-patient or other healthcare provider-patient relationship.

A provider-patient relationship may be established only when a qualified healthcare professional has evaluated you and determined that establishing such a relationship is appropriate under applicable law and the provider's professional judgment.

The Clinic does not guarantee that any particular medication, peptide, hormone, diagnosis, treatment, or therapy will be offered or prescribed.

All treatment decisions are made by the treating healthcare professional based on the patient's medical history, symptoms, examination when appropriate, laboratory results, contraindications, applicable law, and the provider's clinical judgment.

2. Telehealth Services
You understand that healthcare services may be provided through video, telephone, secure messaging, electronic forms, and other telecommunications technologies.

Telehealth may have limitations, including technological failures, inability to perform certain physical examinations, limitations in evaluating certain medical conditions, and circumstances in which an in-person examination or emergency evaluation is more appropriate.

The Clinic and its healthcare professionals may determine that telehealth is not appropriate for a particular condition and may recommend an in-person evaluation or referral.

For patients located in California, telehealth services are subject to applicable California requirements, including applicable informed-consent and standard-of-care requirements. California physicians providing telehealth to patients located in California must generally maintain appropriate California licensure.

By using telehealth services, you consent to receiving healthcare through telehealth when your healthcare professional determines that telehealth is appropriate.

3. No Guarantee of Prescription or Treatment
Completion of an intake questionnaire, payment of a consultation fee, laboratory testing, or appointment does not guarantee:


- a prescription;
- a particular medication;
- peptide therapy;
- hormone replacement therapy;
- testosterone therapy;
- estrogen or progesterone therapy;
- GLP-1 or other weight-management medication;
- compounded medication;
- a specific dosage;
- a specific treatment plan; or
- continued treatment.

Prescribing decisions are made solely by an appropriately licensed healthcare professional based on clinical appropriateness and applicable law.

A provider may decline to prescribe, modify a treatment plan, require additional laboratory testing, require an in-person evaluation, or refer you to another healthcare professional.

4. Peptide Therapy
Peptide therapy may be considered only when a licensed healthcare professional determines that treatment is clinically appropriate and legally permissible.

The term "peptide therapy" may refer to different medications or compounds with different regulatory statuses, evidence bases, risks, and indications.

The Clinic does not represent or warrant that any particular peptide is FDA-approved for a particular condition.

Patients should not interpret information on our website, social media, advertisements, or educational materials as a representation that a particular peptide is proven to treat, cure, prevent, or reverse a disease or medical condition.

The healthcare professional will discuss the proposed therapy, potential benefits, limitations, risks, alternatives, and applicable medication information with the patient as appropriate.

5. Hormone Therapy
Hormone therapy may include, depending on clinical circumstances, testosterone, estrogen, progesterone, thyroid-related treatment, or other hormone-related therapies.

Hormone therapy is not appropriate for every patient.

Treatment may require medical history, laboratory testing, monitoring, follow-up appointments, and periodic reassessment.

The healthcare professional may discontinue, modify, or decline hormone therapy when medically or legally appropriate.

Hormone treatment does not guarantee improvement in symptoms, body composition, energy, sexual function, athletic performance, fertility, mood, or any other outcome.

6. Compounded Medications
When clinically appropriate and permitted by law, a healthcare professional may prescribe a compounded medication.

Compounded medications are not necessarily evaluated or approved by the FDA for safety, effectiveness, or quality in the same manner as FDA-approved medications.

Compounding pharmacies are separate entities from the Clinic unless expressly stated otherwise.

The Clinic does not manufacture, compound, package, or dispense medications unless specifically authorized and disclosed.

Medication availability may depend on applicable federal and state law, pharmacy policies, supply, patient-specific circumstances, and the clinical judgment of the prescribing professional.

The Clinic does not guarantee the availability of any particular compounded medication.

7. FDA Approval and Off-Label Use
Some medications may be prescribed for uses, dosages, formulations, or patient populations that differ from their FDA-approved labeling when such prescribing is permitted by law and determined appropriate by the treating healthcare professional.

The Clinic will not represent an unapproved or off-label use as FDA-approved.

Patients should ask their healthcare professional or pharmacist questions about the FDA approval status and intended use of a medication prescribed to them.

8. Laboratory Testing
Certain treatments may require laboratory testing before treatment or during treatment.

Patients are responsible for completing required laboratory testing within the timeframe specified by the healthcare professional.

Failure to complete required laboratory testing may result in delayed treatment, modification of treatment, or discontinuation of treatment.

Laboratory testing may be performed by independent laboratories or other third-party healthcare providers.

Unless expressly stated otherwise, laboratory fees are separate from Clinic consultation or membership fees.

9. Follow-Up and Monitoring
Certain treatments require periodic clinical evaluation and laboratory monitoring.

Patients agree to provide accurate and complete information concerning their medical history, medications, allergies, medical conditions, laboratory results, and other information reasonably necessary for safe treatment.

Patients must notify the Clinic of significant changes in their health, medications, pregnancy status when applicable, adverse effects, or other relevant medical circumstances.

Failure to participate in appropriate monitoring may result in treatment being modified or discontinued.

10. Emergency Care
The Clinic is not an emergency medical service.

Telehealth services are not intended to replace emergency medical evaluation or emergency services.

If you believe you are experiencing a medical emergency, call 911 or seek immediate evaluation at the nearest emergency department.

Do not wait for a response from the Clinic, patient portal, email, or text message when immediate medical attention may be necessary.

11. Patient Responsibilities
You agree to:


1. Provide truthful, complete, and accurate medical information.
2. Inform the Clinic of all prescription medications, over-the-counter medications, supplements, hormones, peptides, and other substances you use.
3. Follow prescribed dosing and administration instructions.
4. Complete recommended laboratory testing.
5. Attend required follow-up appointments.
6. Notify the Clinic of significant changes in your health.
7. Notify the Clinic of suspected medication side effects or adverse reactions.
8. Keep medications secure and use them only as prescribed.
9. Not share prescription medications with another person.
10. Not alter prescribed dosages without appropriate medical guidance.
11. Provide accurate contact and payment information.

Providing false or incomplete information may result in denial or discontinuation of treatment.

12. Medication Refills
Medication refills are not automatic unless expressly stated otherwise.

Refills may require a follow-up consultation, laboratory testing, review of treatment response, or other clinical assessment.

The Clinic does not guarantee that a refill request will be approved.

Early refill requests, lost or stolen medications, or requests for replacement medications may be subject to additional requirements and applicable pharmacy policies.

13. Controlled Substances
Certain medications prescribed by healthcare professionals may be controlled substances.

Controlled substances are subject to additional federal and state requirements.

The Clinic may require additional identity verification, medical records, laboratory testing, in-person evaluation, pharmacy verification, or other measures before prescribing or continuing certain medications.

The Clinic reserves the right to decline or discontinue treatment when required by law or when clinically appropriate.

14. No Medical Outcome Guarantee
Medical treatment is inherently uncertain.

The Clinic does not guarantee that any treatment will produce a particular result.

Results vary among patients and depend on numerous factors, including medical history, genetics, adherence, lifestyle, underlying medical conditions, medication response, and other factors.

Testimonials, reviews, photographs, or examples presented by the Clinic are not guarantees of results for another patient.

15. Fees and Payment
You agree to pay all fees disclosed to you before purchasing Services, except where additional charges are expressly disclosed or become necessary because of circumstances described in these Terms.

Fees may include, depending on the services selected:


- initial consultation fees;
- follow-up consultation fees;
- membership fees;
- laboratory fees;
- medication costs;
- pharmacy charges;
- shipping charges;
- administrative fees; and
- other disclosed third-party charges.

Unless otherwise stated, medication and laboratory costs are separate from the Clinic's professional fees.

The Clinic will make material pricing information and recurring charges reasonably clear before purchase.

16. Memberships and Recurring Charges
If you enroll in a recurring membership or subscription, you authorize the Clinic or its payment processor to charge your selected payment method according to the pricing and billing schedule disclosed at enrollment.

Before enrolling, you will be provided with the applicable membership price, billing frequency, and material terms.

Membership fees do not guarantee that a prescription will be issued or that a particular medication will be available.

You may cancel your membership according to the cancellation procedure disclosed at enrollment.

Cancellation of a membership does not necessarily cancel an appointment, prescription, laboratory order, pharmacy order, or other transaction that has already been initiated.

17. Refunds and Cancellations
Refund and cancellation policies will be disclosed at the time of purchase and may vary depending on the service.

Where permitted by law, fees for healthcare services already rendered may be non-refundable.

If a provider determines that treatment is not medically appropriate, the Clinic will apply the applicable refund policy disclosed to the patient.

Medication orders that have already been transmitted to or dispensed by a pharmacy may be subject to the pharmacy's policies and applicable law.

18. Pharmacy Relationship
Unless expressly stated otherwise, the Clinic is separate from the pharmacy that dispenses your medication.

The Clinic does not control pharmacy inventory, dispensing practices, shipping times, insurance coverage, pharmacy pricing, or pharmacy policies.

A pharmacy may contact you regarding payment, shipping, medication instructions, or other matters relating to dispensing your prescription.

19. Privacy and Health Information
The Clinic takes the privacy and security of health information seriously.

Depending on the nature of the Clinic's operations and applicable law, patient information may be subject to HIPAA and other federal and state privacy requirements.

The Clinic's applicable Notice of Privacy Practices and Privacy Policy describe how information may be collected, used, disclosed, and protected.

You should review those documents before using the Services.

The Clinic will not make promises about privacy or security that are inconsistent with its actual data practices. Federal regulators have specifically emphasized that telehealth companies must carefully evaluate the collection and sharing of health information, including information collected through websites and tracking technologies.

20. Electronic Communications
By using the Services, you may receive communications through email, telephone, text message, patient portal, or other electronic methods.

Electronic communications may include appointment reminders, treatment-related communications, billing information, laboratory notifications, and other healthcare communications.

You are responsible for maintaining accurate contact information.

You should understand that no electronic communication method can be guaranteed to be completely secure.

21. Website and Educational Information
Information on the Clinic's website, social media accounts, advertisements, emails, blogs, and other educational materials is provided for general informational and educational purposes.

Such information is not a substitute for individualized medical advice, diagnosis, or treatment.

You should not make medical decisions based solely on website or educational content.

22. Advertising and Health Claims
The Clinic intends for its advertising and promotional materials to be truthful, accurate, and appropriately supported.

Nothing in the Clinic's advertising should be interpreted as a guarantee of a particular medical outcome.

Health-related advertising claims should be supported by appropriate evidence, and material limitations should not be concealed from consumers.

23. Testimonials and Reviews
Patient testimonials and reviews reflect the individual experiences of the people providing them.

Individual results are not necessarily representative of results that other patients may experience.

The Clinic does not guarantee that a patient will experience similar results.

Any testimonials used by the Clinic must be presented in accordance with applicable law and the Clinic's policies.

24. Age Requirements
You must meet the minimum age requirements applicable to the Services and the laws of the jurisdiction in which you are located at the time of treatment.

Certain treatments may have additional age-related requirements.

The Clinic may require government-issued identification or other documentation to verify identity and eligibility for treatment.

25. Geographic Availability
Telehealth services are available only in jurisdictions where the Clinic and its healthcare professionals are authorized to provide the applicable services.

You must accurately disclose your physical location when receiving telehealth care.

The Clinic may refuse or discontinue a telehealth encounter if your location is outside the geographic area in which the treating professional is authorized to practice.

26. Clinical Independence
Clinical decisions are made independently by the healthcare professional responsible for your care.

Payment for a consultation or membership does not create an obligation for a healthcare professional to prescribe a medication or provide a particular treatment.

No employee, administrator, marketer, or other non-clinical person may override a healthcare professional's independent clinical judgment.

27. Prohibited Uses
You may not use the Services to:


- obtain medication for another person;
- provide false medical information;
- misrepresent your identity;
- seek duplicate prescriptions through deceptive means;
- sell, transfer, or distribute prescription medications;
- interfere with the Clinic's systems;
- use the Services for unlawful purposes; or
- engage in conduct that threatens Clinic personnel or healthcare professionals.

The Clinic may terminate access to non-clinical services when permitted by law.

Termination does not eliminate any rights or obligations that legally survive termination.

28. Third-Party Services
The Clinic may use third-party companies for services such as:


- telehealth technology;
- payment processing;
- electronic medical records;
- laboratory testing;
- pharmacy fulfillment;
- medication shipping;
- identity verification;
- appointment scheduling; and
- communications.

Third-party services may have their own terms and privacy policies.

The Clinic is not responsible for the independent actions of third parties except to the extent required by applicable law.

29. Intellectual Property
Unless otherwise stated, the Clinic's website, branding, logos, text, graphics, photographs, videos, software, and other materials are owned by or licensed to the Clinic.

You may not reproduce, distribute, modify, sell, or commercially exploit Clinic materials without prior written authorization.

30. Limitation of Liability
To the maximum extent permitted by applicable law, the Clinic and its non-clinical service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the website or non-clinical portions of the Services.

Nothing in these Terms is intended to waive rights or remedies that cannot legally be waived, including rights relating to professional negligence, patient safety, or other mandatory legal protections.

31. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless the Clinic and its non-clinical representatives from claims arising from your unlawful use of the website, intentional misrepresentation of information, or violation of these Terms.

This provision does not apply to claims that cannot legally be subject to indemnification.

32. Changes to These Terms
The Clinic may update these Terms from time to time.

Updated Terms will be posted on the Clinic's website with an updated effective date.

Material changes may be communicated through reasonable means as required by applicable law.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.

33. Governing Law
These Terms will be governed by applicable federal law and the laws of the state in which the Clinic provides the applicable Services, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Because healthcare regulation may vary depending on the patient's location, additional state-specific requirements may apply.

34. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

35. Entire Agreement
These Terms, together with the Clinic's Privacy Policy, Notice of Privacy Practices, telehealth consent, informed consent documents, treatment-specific consents, payment terms, and other applicable agreements, constitute the applicable agreement governing your use of the Services.

Where a clinical consent or other legally required patient document conflicts with these Terms, the legally required clinical document and applicable law will control.
